Faraday Intelligence — Master Terms of Service

These Master Terms of Service (the "Master Terms") are a binding agreement between you and Faraday Intelligence LLC, a Minnesota limited liability company ("Faraday," "we," "us"), governing your access to and use of every Faraday storefront, product, application, dataset, API, and communication (each a "Service," together the "Services").

The Master Terms apply to all Services. Each storefront additionally has a Schedule that carries terms specific to that storefront. Each Schedule incorporates these Master Terms by reference and is incorporated into them. Where a Schedule conflicts with the Master Terms, the Schedule controls for that storefront only, and only to the extent of the conflict.

By creating an account, submitting your email address, purchasing a subscription or tokens, or otherwise using a Service, you agree to the Master Terms and to the Schedule for the storefront you are using. If you do not agree, do not use the Services.

1. The Services

Faraday produces and distributes infrastructure market intelligence: jurisdiction posture scores, forecasts, predictions, briefings, configurator output, datasets, editorial analysis, and educational material. Faraday's storefronts include Jurisdiction Watch™, the Faraday Daily Challenge™, Signal Room, Briefing Library, Faraday Academy, Faraday Intelligent Alert, and Live Agent.

We may add, modify, suspend, or discontinue any Service or feature at any time. Where a change materially reduces what a paid subscription delivers, your remedy is the cancellation and refund rule in the Automatic Renewal notice above.

2. Accounts, eligibility, and named-seat access

You must be at least 16 years old to hold a Faraday account. Some storefronts set a higher minimum age; see the relevant Schedule.

Access is licensed to one named individual. Your account, credentials, API keys, and any seat provisioned to you are personal to you. You may not:

• share, transfer, resell, sublicense, rent, or lease your access;
• allow any other person to use your credentials or seat;
• redistribute subscriber-facing artifacts — scores, briefings, forecasts, exports, configurator output, or datasets — inside your firm, team, client base, or organization; or
• use a single seat to serve multiple individuals in rotation or concurrently.

Firm-wide, team, and multi-seat access is available only under a written team or seat license from Faraday. If you need more than one seat, contact us before sharing anything.

You are responsible for the accuracy of the email address you register, for keeping control of that inbox (we authenticate by emailed link or code), and for all activity under your account. We may suspend or terminate accounts that violate these Master Terms or any Schedule.

3. Subscriptions, billing, and payment

Plans, billing intervals, and prices are shown at the point of purchase and are subject to change on notice; a price change never applies to a term already paid for. Amounts are in U.S. dollars and exclude applicable taxes, which we collect where required.

Payment is processed by our payment processor. You authorize us and our processor to charge your payment method for the initial term and for each automatic renewal term, until you cancel as described in the Automatic Renewal notice above.

If a charge fails, we may retry it and may suspend access until payment succeeds. Except as stated in the Automatic Renewal notice or as required by law, fees are non-refundable.

4. Faraday intellectual property and your license

The Services and everything in them — including scores, scoring methodologies and any associated formulas, weightings, taxonomies, confidence models, and classification systems; forecasts, predictions, and their vintages; briefings and editorial analysis; puzzle content, game formats, and game names; datasets, compilations, and the selection and arrangement of data; software, APIs, and the design and look-and-feel of every storefront — are owned by Faraday Intelligence LLC or its licensors and are protected by copyright, trademark, database, and trade-secret law.

Faraday Intelligence™, Faraday Daily Challenge™, Jurisdiction Watch™, and Faraday Intelligent Alert are trademarks of Faraday Intelligence LLC.

Subject to your compliance with these Master Terms and payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your own internal business or personal purposes, and to make the limited reuse permitted by Section 6. No other rights are granted, expressly or by implication. Faraday's scoring weightings and model internals are confidential and are never licensed to you, whether or not component values are displayed to you.

5. Restrictions — automated access, scraping, and machine-learning use

You may not, and may not permit or assist anyone else to:

1. Use any spider, robot, crawler, scraper, headless browser, extraction script, or other automated means to access, monitor, index, or copy any Service or its content, except that a general-purpose search engine may index public marketing pages in accordance with our robots.txt.
2. Bulk-download, systematically retrieve, mirror, cache beyond ordinary browser caching, or create a database or derived compilation from any Service or its content.
3. Permit an autonomous or semi-autonomous software agent, assistant, or retrieval system to access, query, or retrieve from any Service, except through a Faraday API under a written API license and within its documented rate limits.
4. Circumvent, disable, or interfere with authentication, entitlement checks, rate limits, paywalls, token metering, or any other access control; or probe, scan, or test the vulnerability of any Service without written authorization.
5. Reverse engineer, decompile, disassemble, or attempt to derive any Faraday scoring formula, weighting, ranking logic, model, or other non-public methodology, including by systematic observation or differencing of outputs.
6. Frame or mirror any Service, or remove or alter any copyright, trademark, attribution, watermark, or provenance notice.

5.1 Machine-learning and AI use — expressly prohibited

Separately and in addition to the restrictions above, you may not use any Faraday content, score, forecast, prediction, briefing, dataset, output, or other material to train, pre-train, fine-tune, distill, align, evaluate, benchmark, test, retrieve-augment, ground, prompt, or otherwise develop or improve any machine-learning model, large language model, embedding model, agent, or artificial-intelligence system, whether or not the model is commercial, public, internal, or research-only, and whether the use is direct, by an intermediary, or by a contractor acting on your behalf.

This prohibition applies regardless of whether the content is retained by the model, and it survives termination.

5.2 Reservation of text-and-data-mining rights

Faraday expressly reserves all rights in the Services and their content for purposes of text and data mining, including an express reservation under Article 4(3) of Directive (EU) 2019/790 on copyright in the Digital Single Market, and under any equivalent national implementation, successor provision, or comparable text-and-data-mining exception or limitation in any jurisdiction.

No text-and-data-mining exception applies to the Services. Faraday's coverage and readership are international; this reservation is made globally and is intended to be machine-readable, to be effective wherever a reservation of rights is the mechanism for opting out of a mining exception. Nothing on any Faraday storefront should be read as a grant, waiver, or non-assertion of these rights, and continued availability of content to a crawler is not consent.

6. Permitted reuse and required attribution

You may quote a short, reasonable excerpt of Faraday editorial content for commentary, criticism, teaching, or news reporting, provided the excerpt is not a substitute for the Service and the use is not systematic. Scores, forecast values, predictions, datasets, and configurator output are not covered by this permission and may not be reproduced without a written license.

Any permitted reuse must carry all of the following, adjacent to the reused material:

1. a source line naming the specific Faraday storefront and its domain (for example, "Jurisdiction Watch — jurisdiction-watch.com");
2. attribution to "Faraday Intelligence" as the institutional author;
3. a functioning hyperlink to the original URL, unbroken and not rel="nofollow"-stripped where the medium supports linking; and
4. the publication date or, for scored or forecast material, the vintage of the value reused.

Additional conditions:

• No implied endorsement. Attribution does not permit you to state or imply that Faraday endorses, sponsors, verifies, or is affiliated with you, your organization, your product, or your position.
• No distortion or misattribution. You may not alter a score, forecast, or quotation in a way that changes its meaning; present a superseded vintage as current; combine Faraday material with other material so that the boundary between them is unclear; or attribute to Faraday any statement Faraday did not make.
• Third-party licensors. Some material on the Services is republished or derived under license from third parties (see Section 9). Where third-party terms attach, those terms govern that material and this Section 6 does not grant you rights the third-party licensor has not granted. Attribution required by a third-party licensor must be reproduced in full and may not be replaced by Faraday attribution.

We may revoke this permission for any user or use at any time.

7. No advice and no reliance

Faraday output is information, not advice. Nothing on any Service is investment advice, financial advice, legal advice, engineering advice, siting advice, permitting advice, tax advice, or a recommendation to enter into any transaction. Faraday is not a broker-dealer, investment adviser, law firm, engineering firm, or permitting authority.

Use of the Services creates no fiduciary, advisory, agency, or professional relationship between you and Faraday, and no duty of care beyond the express terms of this agreement.

You expressly agree that you will not rely on any Faraday score, forecast, prediction, briefing, dataset, or output as a basis for allocating capital, selecting or acquiring a site, committing to an interconnection or power arrangement, entering into or pricing a transaction, or making any regulatory or permitting decision. Any such decision is yours alone and must be made on your own independent diligence and professional advice.

8. Scores, forecasts, and vintages

Faraday scores, postures, rankings, forecasts, and predictions are model estimates, not measurements, determinations, or statements of fact.

• Point-in-time. Every published value has a vintage — the point in time as of which it was produced from the inputs then available. A value is only ever a statement about its own vintage.
• Revisions are expected. Inputs arrive late, are corrected upstream, or change. Faraday records forecast provenance across forecast_sources, forecast_vintages, forecast_observations, and forecast_revisions; a revision creates a new observation against a new vintage. Revision is normal operation, not error.
• No restatement of history. Faraday does not restate historical values when methodology or inputs change. Earlier vintages remain as published. A score you retrieved previously may differ from the current score for the same subject without either being wrong.
• Methodology may change. Faraday may change models, weightings, inputs, coverage, confidence bands, and score definitions at any time and without notice. Comparability across vintages is not warranted.
• Coverage is uneven and disclosed. Confidence indicators accompany scored material. An absent, inherited, inferred, or estimated value is not equivalent to a verified one, and Faraday labels these distinctions rather than concealing them.

Backtests, historical accuracy, and past forecast performance do not predict future results.

9. Third-party data pass-through

Faraday republishes, aggregates, and derives from public and licensed third-party sources, including without limitation the U.S. Energy Information Administration (EIA), PJM and other ISO/RTO operators, World Resources Institute Aqueduct, FEMA National Risk Index, the U.S. Geological Survey (USGS), the Bureau of Labor Statistics (BLS), the U.S. Census Bureau, and county, municipal, and state GIS, permitting, and regulatory sources.

Faraday does not warrant the accuracy, completeness, currency, or fitness of any third-party source, and is not responsible for upstream errors, outages, retractions, or licence changes. Third-party material is provided subject to the originating licensor's terms, which pass through to you and which you must observe; where a source requires specific attribution, that attribution travels with the material and may not be removed. Where a third-party term conflicts with a permission granted here, the third-party term controls for that material.

10. AI-assisted content — disclosure

Faraday content is produced by an automated intelligence pipeline. Software agents ingest, tag, score, and draft analysis; scores and forecasts are computed by models; briefings and editorial copy are agent-drafted.

Every published subscriber-facing analysis passes a human editorial review gate before publication. Faraday does not publish unreviewed model output as finished analysis.

We state this plainly because disclosed, governed AI production under human review is how Faraday works and how we intend it to be judged. Editorial personas used as bylines on Faraday storefronts are house voices of Faraday Intelligence LLC, not natural persons, and are not the authors of record for citation purposes; see Section 6, which requires institutional attribution to Faraday Intelligence.

11. Feedback

If you send us feedback, suggestions, feature requests, bug reports, or other comments about the Services, you grant Faraday a non-exclusive, perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use, reproduce, modify, and incorporate that feedback into the Services and our business, without obligation, attribution, or compensation to you.

You keep ownership of your feedback and of any idea in it. This is a license, not an assignment or transfer of any intellectual property right. Do not send us anything confidential or anything you are not free to share.

12. Disclaimers

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY SCORE, FORECAST, OR DATASET IS COMPLETE, CURRENT, OR CORRECT.

Some jurisdictions do not allow the exclusion of implied warranties; in those jurisdictions the exclusions apply to the maximum extent permitted by law.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FARADAY INTELLIGENCE LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS, ARISING FROM OR RELATING TO THE SERVICES, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY.

FARADAY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU ACTUALLY PAID FARADAY FOR THE SERVICES IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

These limitations apply to the fullest extent permitted by law and survive any failure of essential purpose of any limited remedy. Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the maximum extent permitted by law.

14. Indemnification

You will defend, indemnify, and hold harmless Faraday Intelligence LLC and its members, managers, employees, contractors, and licensors from and against any claim, demand, proceeding, loss, damage, liability, and expense (including reasonable attorneys' fees) arising from or relating to (a) your breach of these Master Terms or any Schedule, (b) your use or misuse of the Services, (c) your reuse, republication, or redistribution of Faraday content, (d) your violation of any law or of any third party's rights, or (e) content you submit. We may assume exclusive defense and control of any matter subject to indemnification by you, at your expense, and you will cooperate with us.

15. Term, suspension, and termination

These Master Terms apply while you access any Service. You may stop using the Services at any time; paid subscriptions end as described in the Automatic Renewal notice.

We may suspend or terminate your access, in whole or in part, immediately and without notice, if we reasonably believe you have breached Section 2 (named-seat), Section 5 (automated access and machine-learning use), or Section 6 (attribution), or if your use exposes Faraday or others to legal or security risk. For other breaches we will give notice and a reasonable opportunity to cure where practicable.

On termination your licenses end immediately and you must stop using and delete Faraday content in your possession, except copies you must retain by law. Sections 4, 5, 6, 7, 8, 9, 11, 12, 13, 14, 16, and 18 survive termination.

16. Dispute resolution

Informal resolution first. Before starting a formal proceeding, you and Faraday each agree to give the other written notice of the dispute and to attempt in good faith to resolve it within thirty (30) days.

Mutual arbitration. If the dispute is not resolved, you and Faraday each agree that any dispute arising out of or relating to these Master Terms, any Schedule, or the Services will be resolved by binding individual arbitration administered under the rules of a recognized arbitration provider. This obligation is mutual and binds Faraday exactly as it binds you — neither party may litigate a covered dispute in court except as carved out below, and neither party may unilaterally amend, waive, or opt out of this section as to the other. The arbitrator, not a court, decides arbitrability, except as to the enforceability of the class waiver below.

Carve-outs. Either party may (a) bring an individual claim in small-claims court if it qualifies and stays there, and (b) seek temporary or permanent injunctive or other equitable relief in a court of competent jurisdiction to prevent or stop actual or threatened infringement, misappropriation, or breach of intellectual-property, confidentiality, scraping, or machine-learning-use obligations. Seeking such relief is not a waiver of arbitration.

No class or representative actions. Disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim proceeds in court and the rest of this section still applies to all other claims.

One-year limitation. Any claim arising out of or relating to these Master Terms, any Schedule, or the Services must be filed within one (1) year after the claim accrues, or it is permanently barred, to the extent such a limitation is permitted by law.

Governing law and venue. TODO(myke): governing law and exclusive venue — confirm with counsel before publication. Placeholder for review only: the laws of the State of Minnesota, without regard to conflict-of-laws rules, with venue for court proceedings permitted under the carve-outs above in the state and federal courts located in Minnesota. Also confirm with counsel: the arbitration provider and rule set, the seat of arbitration, and who bears filing fees — these are deliberately left unset here.

17. Accessibility

Faraday targets conformance with the Web Content Accessibility Guidelines (WCAG) 2.1, Level AA across its subscriber-facing storefronts. We test for it and treat a conformance failure as a defect.

Accessibility is not uniform across every surface, and some third-party embedded content is outside our control. If you encounter a barrier — or need content in an alternative format — email accessibility@faraday-intelligence.ai with the page URL and a description of the problem. Tell us what assistive technology you were using if you can; it materially speeds up the fix. We will acknowledge your report and tell you what we intend to do about it.

18. General

Changes to these Master Terms. We may update the Master Terms or any Schedule. The current version is always posted at its canonical URL with its effective date. Material changes are signalled by updating the effective date, and — for changes that materially affect a paid subscriber's rights — by email to the address on your account before the change takes effect. Your continued use after the effective date constitutes acceptance.

Severability. If any provision is held unenforceable, it is modified to the minimum extent necessary or severed, and the remainder stays in full force.

No waiver. Our failure to enforce any provision is not a waiver of it.

Assignment. You may not assign or transfer these Master Terms or your account, by operation of law or otherwise, without our prior written consent; any attempt is void. We may assign these Master Terms in connection with a merger, acquisition, reorganization, or sale of assets.

Entire agreement. The Master Terms, together with the Schedule for each storefront you use, the Privacy Policy, and any written order form or license you have signed with us, are the entire agreement between you and Faraday regarding the Services, and supersede all prior or contemporaneous understandings on that subject.

Force majeure. Neither party is liable for failure or delay caused by events beyond its reasonable control.

Relationship. Nothing here creates a partnership, joint venture, employment, or agency relationship.
